Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Ghostlight and its Theatre Manager application (together, the “Service”), operated from British Columbia, Canada (“we”, “us”, “our”). By creating an account or otherwise using the Service, you agree to these Terms.

1. Alpha service — no warranty

The Service is provided as a closed alpha (pre-release) for evaluation purposes. It is supplied “as is” and “as available”, without warranties of any kind, whether express, implied, statutory or otherwise, including warranties of merchantability, fitness for a particular purpose, title, accuracy or non-infringement.

You acknowledge that during alpha the Service may:

  • contain bugs, errors, or security issues;
  • experience downtime, data loss, or corruption;
  • be modified, suspended, or discontinued, in whole or in part, at any time without notice;
  • have its features, fees, or terms changed before general availability.

You should not rely on the Service as your sole record for casting decisions, auditioning materials, or production data. Keep your own backups of anything you cannot afford to lose.

2. Accounts and eligibility

You must be at least 19 years old (the age of majority in British Columbia) to create an account. By registering, you confirm that the information you provide is accurate, that you have the right to provide any materials you upload, and that you will keep your credentials confidential.

You are responsible for all activity that takes place under your account. Notify us immediately at hello@ghostlight.tech if you suspect unauthorized use.

Theatre company accounts are invite-only during alpha. We may invite, suspend, or remove company accounts at our discretion to preserve the quality of the pilot.

3. Your content

You retain ownership of the content you submit — including headshots, resumes, audition videos, written materials, notes, and production files (“Your Content”).

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, transmit, display, copy, and process Your Content solely to provide and improve the Service for you and the recipients you authorize (for example, the theatre company running a call you submit to).

You represent that you have all rights necessary to share Your Content with us and with the recipients you authorize, and that Your Content does not violate any third party’s rights, any law, or any union/collective agreement applicable to you.

4. Acceptable use

You agree not to:

  • impersonate any person or misrepresent your affiliation with a person or company;
  • upload or share unlawful, harassing, hateful, sexually explicit, or violent content, or content involving minors in any sexualized context;
  • solicit auditions or fees in a manner that violates applicable law or union/collective rules (including ACTRA, CAEA, IATSE, or similar);
  • scrape, crawl, or harvest data from the Service, or interfere with its operation;
  • attempt to gain unauthorized access to accounts, systems, or data;
  • use the Service to send spam or unsolicited marketing.

We may remove content or suspend accounts that, in our reasonable judgement, violate these Terms or harm other users.

5. Fees

Actors do not pay to create an account or submit to calls through the Service.

During alpha, theatre companies enrolled in the pilot use the Service at no charge unless we have separately agreed in writing. Pricing for general availability will be published before it takes effect, with reasonable advance notice to existing pilot participants.

6. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains what we collect, how we use it, and the third parties (such as our cloud, email, and payments providers) who help us operate the Service.

7. Limitation of liability

To the maximum extent permitted by law, in no event will we, our directors, employees, contractors, or service providers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunity, arising out of or relating to the Service, even if advised of the possibility of such damages.

Our aggregate liability for any claim arising out of or relating to the Service is limited to the greater of (a) the amount you have paid us in the twelve months preceding the claim, or (b) CAD $50.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this section may not apply to you.

8. Indemnity

You agree to indemnify and hold harmless Ghostlight, its operators, and its service providers from any claim, demand, or expense (including reasonable legal fees) arising out of (a) Your Content, (b) your use of the Service, or (c) your breach of these Terms or any law.

9. Termination

You may close your account at any time from your account settings. We may suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms or if we discontinue the Service.

Sections that by their nature should survive termination (including content licences for material already shared, limitations of liability, indemnity, and governing law) will survive.

10. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you (for example, by email or by an in-product notice) before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

11. Governing law

These Terms are governed by the laws of the Province of British Columbia, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The courts located in Vancouver, British Columbia have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction.
